ERV in non-conditioned space?

All HRV/ERV instructions say to install in conditioned space, but finding a conditioned location for an ERV in a retrofit can be difficult-to-impossible. What are the implications of installing a residential ERV (eg, Panasonic FV-10VE1) in an unconditioned space (attic) in a mild climate like SF Bay Area? Just a little lower efficiency?

Can't think of why they would have to be in a conditioned space except if transferring air below freezing temps moisture can collect on the wheel.
San Fran, don't think you have to worry about that.
